I. INTRODUCTION

Welcome to NutriStyle’s web platform (the “Platform”), owned and operated by NUTRISTYLE, INC. (“NutriStyle,” “we,” “us,” or “our”). By accessing or using our Platform or services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the “Terms”), our Privacy Policy, our Subscription Terms, and any additional guidelines or rules applicable to specific services that are posted on the Platform (collectively, the “Agreement”).

We may update or modify these Terms and any component of the Agreement at any time in our sole discretion. We will provide notice of material changes through the Platform and via email at least 30 days before such changes take effect, unless immediate changes are required by law or for security purposes. Your continued use of the Services after such modifications constitutes binding acceptance of the updated Terms.

THESE TERMS CONTAIN PROVISIONS THAT LIMIT OUR LIABILITY TO YOU AND REQUIRE YOU TO RESOLVE DISPUTES THROUGH ARBITRATION ON AN INDIVIDUAL BASIS, NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION.

II. DEFINITIONS

  • “Platform” refers to NutriStyle’s web-based platform accessible via browser on any device.

  • “Services” refers to all services provided through the Platform, including but not limited to AI-powered meal planning, nutrition analysis, shopping lists, remote nutrition counseling, live chat, recipes, video-on-demand training, educational content, and community features.

  • “Subscription” refers to paid or free access to our Services.

  • “User” refers to any individual who accesses our Platform.

  • “Subscriber” refers to Users who have registered for an account.

  • “User Content” refers to any content, data, or information submitted by Users to the Platform.

  • “NutriStyle Content” refers to all content, visual interfaces, information, graphics, design, compilation, computer code, products, software, and services created by NutriStyle.

  • “NutriStyle AI” refers to our artificial intelligence and machine learning technologies that power personalized nutrition recommendations and meal planning.

III. ACCOUNT REGISTRATION AND ELIGIBILITY

II1. Age Requirement
You must be at least eighteen (18) years of age or the age of majority in your jurisdiction of residence to subscribe to or use our Services.

III.2 Account Creation
When you register for an account, you agree to provide accurate, current, and complete information and to keep this information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorized by you. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

III. Identity Verification
We may implement additional identity verification measures to protect our community and comply with regulatory requirements. This may include biometric authentication options, which you can choose to enable for enhanced security. By enabling such features, you expressly consent to our collection, processing, storage, and protection of your biometric data in accordance with our Privacy Policy, Washington’s biometric privacy laws (RCW 19.375), and other applicable laws.

Biometric data will be permanently destroyed within one year of the user’s last interaction unless a shorter period is mandated by law.

V.4 Price Changes
We may change subscription pricing with notice before the next billing cycle. Price changes do not affect the current period.

V.6 Subscription Cancellation

By submitting User Content, you grant NutriStyle a perpetual, worldwide, royalty-free license to use, adapt, display, and create derivative works — including to:

  • Improve the platform

  • Train AI (using only anonymized or aggregated data unless you consent)

  • Conduct research and analysis

VII.3 Content Restrictions
Do not submit content that:

  • Is harmful, harassing, discriminatory, or illegal

  • Infringes on IP rights

  • Is spam or malware

  • Exploits or harms minors

VII.4 Content Moderation
We may moderate and remove User Content that violates our Terms. We do not monitor everything in real time but rely on reports and automated tools.

VII.5 Content Removal and Reporting

You agree to follow our Community Guidelines, which require respectful, constructive interactions.

VIII. AI AND ALGORITHM TRANSPARENCY

VIII.1 AI-Powered Features and Limitations
NutriStyle’s AI features assist in meal planning and nutrition guidance but do not constitute medical advice. You agree that:

  • AI recommendations are supplemental and not a substitute for healthcare.

  • AI may contain limitations or biases.

  • You may opt out of AI features while still using core services.

  • Human oversight is maintained for critical AI decisions.

  • NutriStyle’s AI is not FDA-approved and is not intended to diagnose or treat any condition.

VIII.2 Human Oversight
Nutrition professionals periodically review AI outputs. While designed for accuracy, AI-generated content is experimental and provided “as is.” You agree to use AI outputs at your own risk and consult healthcare providers for medical decisions.

VIII.3 Algorithm Training
Our AI uses diverse datasets and undergoes regular bias mitigation. You acknowledge that recommendations:

  • May not fit every user’s needs

  • Are not guaranteed to be accurate

  • Must be independently evaluated by you

VIII.4 Algorithmic Decision-Making
You have the right to:

  • Be informed about algorithm use

  • Request human review of decisions

  • Understand recommendation criteria

  • Opt out of certain algorithm-based features

VIII.5 Algorithm Updates

All NutriStyle Content — including code, models, designs, interfaces, and generated data — is owned by NutriStyle and protected by IP laws. Unauthorized use is prohibited.

IX.2 Limited License to Users
We grant you a limited, non-exclusive, revocable license to access and use the Platform for personal, non-commercial purposes under these Terms.

IX.3 Restrictions
You may not:

  • Copy or modify the Platform or its content

  • Reverse engineer or decompile any part

  • Remove IP notices

  • Use the Platform to create competing products

  • Automate access beyond permitted APIs

  • Sell or license the Platform

IX.4 Feedback
Feedback or ideas submitted to NutriStyle may be used without compensation under a royalty-free, perpetual license.

IX.5 Copyright Infringement
To report copyright violations, email copyright@nutristyle.com with:

  • Good faith statement of unauthorized use

IX.6 Repeat Infringers
We will terminate accounts of users who repeatedly violate copyright laws.

X. USER RESPONSIBILITIES

You agree to use the Platform lawfully and keep your account credentials secure. You are responsible for all activity under your account.

X.2 Prohibited Activities
Do not:

  • Use the Platform for illegal purposes

  • Harass or threaten users

  • Attempt to gain unauthorized access

X.3 User Interactions

X.4 Device Requirements
You’re responsible for maintaining your own devices and internet connection to access the Platform.

XI. HEALTH INFORMATION DISCLAIMER

XI.1 Not Medical Advice

The Platform does not provide medical diagnoses or treatments and is not a substitute for professional medical advice, care, or services. It is intended for general wellness and informational purposes only.

XI.2 Consultation Requirement
You agree to consult qualified healthcare professionals for any health-related questions or decisions. Do not rely solely on NutriStyle recommendations. Do not disregard or delay seeking professional advice based on Platform content.

XI.3 Personalized Nutrition
While recommendations are science-based and professionally informed, outcomes may vary. You agree to:

  • Report adverse effects immediately

  • Stop using recommendations that cause harm

  • Seek medical attention when needed

  • Assume full responsibility for implementing any AI-generated advice

XI.4 Health Risk Acknowledgment
Consult your physician before starting new nutrition or exercise programs, especially if you have existing health conditions or allergies.

XI.5 Emergency Situations
The Platform is not intended for emergency use. In an emergency, contact local medical services immediately.

XII. SERVICE MODIFICATIONS

XII.1 Platform Updates
We regularly update features, interfaces, and functions. Significant changes will be communicated via the Platform, email, or other means.

XII.2 Content Availability
No guarantees are made regarding the permanent availability of specific content or features. Removals may occur for business, quality, or legal reasons.

XII.3 Service Interruptions
Temporary downtime may occur for maintenance or technical issues. We are not liable for service interruptions.

XII.4 Service Discontinuation
We may discontinue the Platform or specific services with reasonable notice to subscribers.

XIII. TERM AND TERMINATION

XIII.1 Term
These Terms remain in effect as long as you use the Platform or hold an active subscription.

XIII.2 Termination by You
You may cancel your subscription at any time via account settings or support. Cancellation is effective at the end of the billing cycle.

XIII.3 Termination by NutriStyle
We may suspend or terminate your access for reasons including:

  • Breach of Terms

  • Inability to verify identity

  • Legal compliance

  • Inactivity

  • Platform shutdown

  • Other justifiable reasons with notice

XIII.4 Effect of Termination
Upon termination:

  • Your access and license end

  • Your data is retained per our Privacy Policy

  • Sections intended to survive termination will remain effective

XIII.5 Data Export and Deletion
Before termination, you may export your data. Post-termination, you may request deletion per our Privacy Policy.

XIV. DISCLAIMERS

XIV.1 “As Is” Provision
The Platform, services, and all related content are provided “as is” and “as available,” without warranties of any kind, either express or implied — including merchantability, fitness for a particular purpose, or non-infringement.

XIV.2 No Guarantees
NutriStyle does not guarantee that:

  • The Platform will be uninterrupted, secure, or error-free

  • Errors will be corrected

  • The Platform is free of viruses or harmful components

  • Results from using the Platform will be accurate

  • The quality of services or content will meet your expectations

XIV.3 Nutritional Results
No specific outcomes are guaranteed. Results depend on individual variables outside NutriStyle’s control.

XIV.4 Third-Party Content
NutriStyle does not endorse third-party content or professional advice displayed on the Platform. All third-party content is the sole responsibility of the provider.

XIV.5 Third-Party Services
Links to third-party websites or services are for convenience only. NutriStyle assumes no responsibility for their practices or content.

XV. LIMITATION OF LIABILITY

XV.1 Liability Cap
To the fullest extent permitted by law, NutriStyle and its affiliates are not liable for indirect, incidental, punitive, or consequential damages — including lost profits, data, or goodwill — arising from your use of the Platform.

NutriStyle’s total liability for all claims is limited to:

  • $100 USD, or

  • The amount you paid in the past 12 months, whichever is greater.

This limitation does not apply to:

  • Gross negligence, fraud, or willful misconduct

  • Unauthorized disclosure of biometric or sensitive personal data

  • Rights that cannot be waived under applicable law

XV.2 Risk Assumption
You agree that your use of the Platform and any activity based on its recommendations is at your own risk.

XV.3 Release for Personal Injury
You release NutriStyle from liability for injury or death resulting from Platform use or related activity participation.

XV.4 Exclusions
Some jurisdictions do not allow certain limitations or exclusions, so they may not apply to you.

XVI. INDEMNIFICATION

You agree to indemnify and hold harmless NutriStyle and its affiliates, officers, and employees from any claims, liabilities, damages, or expenses (including attorneys’ fees) arising from:

  • Your use of the Platform or Services

  • Violation of these Terms

  • Your User Content

  • Your violation of others’ rights

  • Your negligence or misconduct

NutriStyle reserves the right to assume exclusive defense of any matter subject to indemnification, and you agree to cooperate with such defense.

XVII. DISPUTE RESOLUTION

XVII.1 Arbitration Agreement
You and NutriStyle agree to resolve any disputes related to these Terms or the Platform through binding arbitration conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in King County, Washington, and will follow Washington state law.

XVII.2 Exceptions
Arbitration does not apply to:

  • Small claims

  • Requests for injunctive relief

  • Intellectual property disputes

  • Government enforcement actions

XVII.3 No Class Actions
You and NutriStyle may only bring claims individually, not as part of a class or representative action.

XVII.4 Arbitration Procedure
A single arbitrator will be selected according to AAA rules. Arbitration may be conducted virtually or in person, as appropriate.

XVII.5 Location
Arbitration will occur in Seattle, WA or via remote video conference at NutriStyle’s discretion.

XVII.6 Costs
Arbitration costs are governed by AAA rules.

XVII.7 Opt-Out
You may opt out of arbitration by sending written notice to legal@nutristyle.com or to NutriStyle’s legal address within 30 days of accepting the Terms. Your opt-out notice must include:

  • Full name

  • Email associated with your account

  • Physical mailing address

  • A clear statement of your wish to opt out

XVII.8 Future Changes to Arbitration Terms
If we update arbitration terms, you may reject changes by notifying us within 30 days of the update.

XVIII. INTERNATIONAL USERS

XVIII.1 Cross-Border Data
If you access the Platform outside the U.S., you agree to the transfer and processing of your data in the U.S. and other countries where we or our vendors operate.

XVIII.2 Language
These Terms are written in English. Any translations are for convenience only, and the English version prevails in case of conflict.

XVIII.3 Regional Terms
Additional terms may apply depending on your location. Continued use of the Platform signifies acceptance of applicable local terms.

XVIII.4 Export Compliance
You may not access or use the Platform if you are located in a restricted country or on a U.S. government denied-party list. You agree to comply with all applicable export laws.

XIX. GENERAL PROVISIONS

XIX.1 Entire Agreement
These Terms, along with referenced policies (Privacy Policy, Subscription Terms, etc.), form the complete agreement between you and NutriStyle and supersede any prior agreements.

XIX.2 Severability
If any part of these Terms is found unenforceable, it will be limited or removed, and the rest of the Terms remain in effect.

XIX.3 No Waiver
Failure to enforce any right or term is not a waiver. Waivers must be in writing and signed.

XIX.4 Assignment
You may not transfer these Terms without our written consent. NutriStyle may assign them in a merger, acquisition, or sale of assets.

XIX.5 Amendments
We may update these Terms. We’ll give 30 days’ notice for material changes. Continued use after the update constitutes acceptance.

XIX.6 Force Majeure
Neither party is liable for delays caused by events outside their control (e.g., natural disasters, pandemics, cyberattacks).

XIX.7 Governing Law
These Terms are governed by the laws of the State of Washington, without regard to conflict of laws.

XIX.8 Notices
You agree to receive notices from NutriStyle via email or the Platform. Legal notices to us should be sent to legal@nutristyle.com or our mailing address.

XXI. PARTNER ACCESS AND USE OF DATA

  • Partners may receive aggregated and anonymized usage data to assess program engagement.

  • No identifiable data is shared with partners without your explicit consent.

  • All partners are required to protect your information under agreements consistent with these Terms and our Privacy Policy.
